CPSI, its subsidiary TruBridge, LLC and their respective subsidiaries and affiliates (collectively “CPSI”) owns and operates this website (“CPSI’s Website”).  CPSI’s Website is made available to Eligible Website Users, as defined herein, under the following terms and conditions (the “Terms of Use”).

CPSI’s Website:  CPSI’s Website provides information about CPSI and its products and services, information of interest to the hospital industry, areas to facilitate communication between CPSI and its customers, and areas to facilitate networking and collaboration amongst CPSI’s customers.  The information and services provided on or through CPSI’s Website may be updated or removed at any time without notice. 

All content of CPSI’s Website is the intellectual property of CPSI and no part of CPSI’s Website may be reproduced without first obtaining CPSI’s written permission.

Eligible Website Users:  An Eligible Website User shall be defined as a user that i) agrees to these Terms of Use without modification and ii) is 18 years of age or older.  By using CPSI’s Website, you represent and warrant that you are an Eligible Website User.   Subject to these Terms of Use, CPSI hereby grants to Eligible Website Users a non-exclusive, non-transferable, royalty-free right to access and use CPSI’s Website.

Use of CPSI’s Website:  Use of CPSI’s Website by an Eligible Website User is contingent upon the user’s agreement to i) use CPSI’s Website solely as permitted by these Terms of Use; ii) not use CPSI’s Website to defame, abuse, harass, stalk, threaten, damage the reputation of or otherwise infringe on the legal rights of others; iii) not use CPSI’s Website in any way that would infringe on the intellectual property rights of CPSI or any third party; iv) not use CPSI’s Website in any way that would violate the privacy of any third party; v) not use CPSI’s Website to disseminate any information that, in CPSI’s sole discretion, is inappropriate, profane, defamatory, infringing, obscene, offensive, indecent or illegal; vi) not intentionally post inaccurate, false or misleading information; vii) not use CPSI’s Website in any way that is unlawful; viii) not use CPSI’s Website in any way that would adversely affect the availability or efficiency of the Website or interfere with any other Eligible Website User’s ability to access and use the website; ix) not attempt to defeat or evade any security or access control of CPSI’s Website; x) use CPSI’s Website solely for internal business purposes; xi) protect the security of and not share with any third party any user name, login and password information used to access applicable portions of CPSI’s Website; and xii) not allow any third party acting on your behalf to act in any manner not allowed by these Terms of Use.

User Contributions:  Each Eligible Website User is solely responsible for his/her contributions to and communications through CPSI’s Website, to include, without limitation, any postings, responses,  ideas, concepts and any other contributions (collectively “User Contributions”).  By using CPSI’s Website, the user acknowledges and agrees that i) the user owns or controls all rights to any User Contributions he/she may provide; ii) except as specifically provided herein or in CPSI’s Privacy Policy, User Contributions shall not be considered private or confidential regardless as to whether so marked; iii) all User Contributions automatically become the exclusive property of CPSI, without compensation to the submitter, and may be used by CPSI for any purpose or removed from CPSI’s Website at CPSI’s sole discretion; and iv) that he/she irrevocably waives any and all rights to any User Contributions he/she may submit.  Communications between CPSI and a CPSI customer regarding support requests and all information related to such support requests are private and confidential between CPSI and the CPSI customer regardless as to whether such communications and information are so marked.

Termination of Access and Use:  CPSI may, in its sole discretion, terminate the right to access and use CPSI’s Website of any Eligible Website User that has violated these Terms and Conditions.

No License:  Nothing in these Terms of Use is intended to grant any license or any other rights to CPSI’s Website, except as expressly set forth herein, or transfer any rights, title or interests in or to any intellectual property of CPSI.

Third Party Links:  CPSI’s Website may include links to other third party sites to provide access to additional information; however, these Terms of Use do not apply to any third party sites that may be linked to CPSI’s Website.  CPSI is not responsible or liable for the content or use of the linked sites.  CPSI recommends that you review the terms of use of any third party site you may visit via a link on CPSI’s Website.

No failure or delay by CPSI in exercising any right, power or remedy under these Terms of User shall be construed as a waiver of any such right, power or remedy.

In the event of a conflict between these Terms of Use and any valid and enforceable agreement executed by and between the parties, the terms of the agreement between parties shall govern.

These Terms of Use shall be construed and enforced under the laws of the State of Alabama.  Venue for any claim or action arising out of or to enforce these Terms of Use shall be Mobile County in the State of Alabama and you hereby submit to the jurisdiction and venue of that court.

These Terms of Use set forth the entire understanding of the parties hereto and supersede all other oral or written representations except as otherwise provided herein.
